(5) The *** shall indemnify and hold the ***, its employees and contractors of the Trial Site harmless from and against any and all third party Claims and for related damages, losses, costs and expenses, including reasonable ----attorney fees----, arising out of the breach of any of the terms and conditions of this Agreement by the *** or of the failure by the *** (or its personnel or of any person working upon the Study (including, but not limited to, investigators) to fulfill their responsibilities and obligations in accordance with this Agreement.
