Bus/Financial - Law (general) / Bylaws - Corporations
English term or phrase: assessable shares | non-assessable shares
This text appears in the bylaws of a US corporation, under the title "Certificates for shares".

My doubt is about the full phrase because, as I don't know how to translate "assessable shares", then it is difficult to go on with the rest.

(It should be mentioned on the share certificate) "whether or not the shares are assessable or whether assessments are collectible by personal action".

Can anybody help me, please? The document should be translated into Spanish (to be submitted in Argentina).
Thanks a million :-)

acciones con derecho a llamado de capital | acciones sin derecho a llamado de capital

Explanation:
Certainly! In the context of US corporate law, "assessable shares" refer to shares for which shareholders may be liable for additional payments beyond the initial purchase price if the corporation requires additional funds. This liability is typically limited to the unpaid portion of the shares' par value or stated value.

On the other hand, "non-assessable shares" are shares for which shareholders bear no further liability beyond the initial purchase price. Once the shares are fully paid for, shareholders are not obligated to make any additional payments to the corporation.

So, in the context of the phrase you provided, it's stating that the share certificates should indicate whether the shares being issued are subject to potential future assessments (assessable shares), or if shareholders have no further liability beyond their initial investment (non-assessable shares).

Propuesta de traducción de la frase:
Si las acciones son o no susceptibles de llamado de capital, o si los llamados de capital son cobrables mediante acción personal.

Example sentence(s):
  • Las acciones emitidas por la sociedad son susceptibles de ser llamadas a aportar capital de acuerdo con lo establecido en los estatutos sociales.
  • Los accionistas deben tener en cuenta que las acciones de clase A son las únicas no susceptibles de ser llamadas a aportar capital adicional en caso de necesidad de la empresa.
