Basing myself on César´s definition, this might be a satisfactory solution in this context
Of course the question is whether the sale is "signed AND sealed", ie legally recognizable (alzado). If it isn´t registered, it is more difficult, although not impossible, to demonstrate its validity.
In this context there doesn´t seem to be any reason to look for a translation with negative connotations, even if the original word can have them.
