Stock options: shares and stocks
I am translating a Stock Option Agreement from English into Spanish, and they keep on repeating stocks, and shares all over the place, making a clear distinction between them... so I have thought of translating this as "Stocks: Acciones and Shares: Participaciones"... what do you think? Or should I just leave it all as "Acciones"?
Here is an example of the text:
ADJUSTMENT OF SHARES.
In the event of a subdivision of the outstanding Stock, a declaration of a dividend payable in Shares, a declaration of an extraordinary dividend payable in a form other than Shares in an amount that has a material effect on the Fair Market Value of the Stock, a combination or consolidation of the outstanding Stock into a lesser number of Shares, a recapitalization, a spin-off, a reclassification, or a similar occurrence, the Board shall make appropriate adjustments to the following:
(i) the number of Shares available
for future awards under Section 5; (ii) the number of Shares covered by each outstanding Option; (iii) the Exercise Price under each outstanding Option; and (iv) the price of Shares subject to the Company’s right of repurchase.

In this context, stock and shares refer to one and the same thing from different perspectives - the company's share capital.
(a) "the Fair Market Value of the Stock" --> the company's capital as seen from the external perspective of the market, or how much is an investor willing to pay for (a part of) the company
(b) "a dividend payable in Shares" --> the company's capital as seen from the internal perspective of existing shareholders, who may be paid in cash or with additional shares
Please do not use 'participaciones' in this context, since the distinction between acciones and participaciones does not exist in English as such:
Acciones: Shares in a large company, whether listed or not (Sociedad Anónima)
Participaciones: Shares in a small-to-medium-sized company (Sociedad Limitada)
(Note that both translate as "shares" in English)
In my opinion, you can easily maintain the (subtle) distinction between stock and shares by using 'capital' (or capital social) and 'acciones'.
Below are links to reports issued by BBVA and Banco Santander using 'capital social' and 'acciones' in a way that would nicely translate as 'stock' and 'shares', respectively.

Pero cuidado con "participaciones". Es una palabra que se usa en España para las empresas S.L. Las S.A. tienen acciones. En inglés no se distingue entre las dos.

En español, tú solo tienes que dejar claro el significado,
no te preocupes por escribirlo de forma tan obtusa.
One Share = una acción
Outstanding Stock = acciones en circulación (es decir públicas / en el mercado / no en posesión de la empresa en si)
Stock held = porcentaje de participación / número de acciones
dividend payable in shares = en vez de dinero, harán una pro-rata y te darán el equivalente en [nuevas] acciones, valoradas según su valor actual en el mercado [bursátil]
consolidation of shares = reverse split = reducción del número de acciones en circulación (sigues en posesión del mismo valor, pero con menor número de acciones)
number of shares available = outstanding stock
price of shares = precio de una acción
share of stock = porcentaje de participación / número de acciones propias
Bajo el acápite ADJUSTMENT OF SHARES, se maneja la distinción que a aludes, pero, a mi criterio, se trata más de un matiz que de una distinción tajante. Aparte hay que tomar en cuenta lo siguiente: “The distinction between stocks and shares in the financial markets is blurry. Mi sugerencia sería:
En caso de división (se trata de un stock split) de las acciones en circulación, pago de dividendos en acciones o declaración de un dividendo extraordinario no pagadero en acciones por un monto que tenga efecto importante en el valor justo de mercado de la acción.
