who is 'haar' in this sentence?

1. Het bestuur van de vennootschap is opgedragen aan de directie, bestaande uit een of meer (algemeen) directeuren.
2. De algemene vergadering is bevoegd door haar, in haar daartoe strekkend besluit, duidelijk te omschrijven besluiten van de directie aan haar voorafgaande goedkeuring to onderwerpen.

I don't know who the 'haar' is referring to. Is it the vegadering or the directie?

Thanks, but apart from the many typos, 'subject to [its] i.e. the prior approval of the board of directors,is not what is meant.
