French term

actions d'autocontrole

French to English Bus/Financial Investment / Securities
Appears in a presentation outlining a merger treaty.

I am not sure of the English equivalent of this type of share. I get some convincing hits on goggle for "control shares", but would appreciate confirmation or a more accurate translation from an expert in this fiedl! The meaning of "autocontrole" in French appears to be the following one provided by Grande Dico (who sadly, don't provide an English translation!):

"Pratique qui permet à une société de détenir un pourcentage de ses propres actions dont elle se sert pour voter en assemblée générale des actionnaires, rendant plus difficile une éventuelle OPA, soit une sorte de pilule empoisonnée. "

Here the sentence from my source text:

"Emission de [number]nouvelles actions XXX en rémunération de l’apport fusion. Ce nombre sera ajusté avant le Conseil d’administration approuvant la fusion en fonction des augmentations de capital découlant de l’exerices des plans de Stock options et de la variation du nombre **d’actions d’auto-contrôle** de XXXX."

agree rkillings : There used to be legal and accounting differences that made 'treasury shares' a misleading translation of 'autocontrôle'; but no longer.
