A Lei de Falências e as alterações no Código Tributário Nacional, aprovadas pelo Congresso Nacional no final de 2004, modernizaram a legislação brasileira sobre recuperação de empresas em dificuldades. A principal mudança, no que se refere ao mercado de crédito, diz respeito à criação de um ambiente institucional mais favorável aos contratos, devido à redefinição da ordem de prioridades na falência. Ao contrário do que ocorria, os créditos com garantia real passam a ser respeitados na eventual liquidação de empresas, com a alteração da ordem de preferência dos credores. Além disso, foi eliminado o mecanismo de sucessão tributária, regra segundo a qual o comprador de bens da massa falida ou de empresa em dificuldades se responsabilizava pelas dívidas fiscais e tributárias reclamadas.
