Project Facilities" means:
(a) the Phase I Project Facilities;
(b) the Phase II Project Facilities; and
(c) any other physical assets and facilities (to the extent not included in paragraphs (a) and (b) of this definition) constructed and owned by X *whether by expansion or modification or pursuant to any Other Capital Expenditure.
