Na základe toho strany uzatvorili predbežnú dohodu, ktorá bola podpísaná 21. februára 2001 s dohodnutou cenou 230 miliónov DKK. Against this background, the parties entered into an agreement, "Head of Terms", which was signed on 21 February 2001 with an agreed price of DKK 230 million. Institut předsmluvní odpovědnosti má v evropských právních řádech již poměrně dlouhou tradici, čemuž odpovídá i zvýšená obezřetnost zahraničních investorů při podnikových transakcích. Ta se projevuje například tím, že zahraniční investoři častěji uzavírají předběžné dohody (tzv. letter of intent nebo head of terms), ve kterých se snaží předsmluvní odpovědnost upravit či vyloučit. "Heads of terms" denotes a document signed by two parties intending to enter into a formal contract.
